By-Laws
Article I – General Provisions
I. MEMBERSHIP
Dues paying members shall have full access to Tampa Bay Area Sea Hawkers events, Sea Hawker benefits, and voting rights at chapter meetings.
II. CHAPTER DUES AND ENROLLMENT
A. The annual dues of members shall be established by the By-Laws of the Sea Hawkers Central Council. Dues are currently $15.00 for a single membership and $25.00 for a household membership (up to 4 members). A handling fee of $2 per membership will be added to those processed through electronic means such as Pay Pal.
B. Membership dues are due with initial application and at time of renewal of membership. Membership is by football-season year (August 1 through July 31). Members joining after May 1 of a given football-season year are paid for the remainder of that year and the following football-season year. Members who have not renewed their membership by October 31 will be dropped from the membership list until such time as the dues are paid.
III. MEETINGS
A. REGULAR – Regular meetings shall be held the final Friday of every month. Additional meetings will be held at the discretion of the Board of Directors.
B. ANNUAL – The Regular meeting in August shall be the Annual meeting at which time elections shall be held.
C. SPECIAL – Special meetings may be called at the written/email discretion of a majority of the Board or at the written/email request of fifteen percent of the chapters’ members. At least five days notice shall be given for all special meetings.
D. QUORUM – At any meeting of the chapter, two-thirds of members present shall constitute a quorum to do official business.
E. MEETING PLACE AND TIME – The place and time of Tampa Bay Area Sea Hawkers meetings shall be announced to all members with at least a 48 hour notice.
Article II – Board of Directors
The Board shall consist of the following positions:
Article III – Duties of the Board of Directors
All meeting minutes, records correspondence files, and all central files shall be maintained by the Secretary and are the property of the Chapter.
All financial records including receipts, disbursement records, and Treasurer’s reports shall be maintained by the Treasurer and are the property of the Chapter
Article IV – Chapter Funds
1. The funds of the Tampa Bay Area Sea Hawkers must be deposited in the chapter name in a financial institution approved by the Board. At least two current Board members must have authority to deposit/transfer/withdraw funds.
2. All checks/withdrawals of more than one hundred dollars ($100.00) must be voted on and approved by a quorum at a Regular, Annual, or Special meeting.
Article V – Affiliation
1. The Tampa Bay Area Sea Hawkers shall affiliate with the Sea Hawkers Central Council and other Sea Hawker chapters recognized by the Sea Hawkers Central Council. The Tampa Bay Area Sea Hawkers Board of Directors may appoint representatives to attend Central Council meetings, as necessary. They may only take part in the discussion of agenda items, but have no vote.
2. The Board of Directors is authorized to submit dues from the Tampa Bay Area Sea Hawkers funds each year to the Central Council. The amount of dues is to be determined by the Central Council and consistent with the amount paid by other associate satellite Sea Hawker Chapters. Dues to Central Council are currently $75.00.
Article VI – Dissolution
The Tampa Bay Area Sea Hawkers shall be considered “dissolved” when it is considered inactive by Sea Hawkers Central Council or has less than fifteen (15) active members.
Upon dissolution, all property of the Tampa Bay Area Sea Hawkers shall be forfeited to the Sea Hawkers Central Council or to charity. The last members of the Tampa Bay Area Sea Hawkers would direct Central Council to this decision.
Article VII – Amendments
These By-Laws may be amended by simple majority vote (51%) of the regular members present at a meeting of the chapter. Members should receive notice of a potential By-Law change at least twenty one (21) days prior to the Chapter meeting at which the changes will be presented and voted on.
The above and foregoing By-Laws were duly adopted by at least a simple majority (51%) vote of the members of the chapter as the By-Laws of the Tampa Bay Area Sea Hawkers on the (____) day of (____________), 2017.

Article II – Board of Directors
- The business and property of the chapter shall be managed by the Board of Directors.
The Board shall consist of the following positions:
- President
- Vice President
- Vice President of Membership and Administration
- Treasurer
- Events and Marketing Director
- Two At Large Positions
- The Board shall be elected for two-year terms, by a majority vote of the members present at the Annual meeting that year.
- The Board shall meet at least twice a year to manage the chapter’s affairs outside of the Regular meetings. These meetings shall be called as per Article I, Section III.
- At Board meetings, a minimum of three Board members shall be present to constitute a quorum. Each Board member shall possess one vote. Voting by proxy shall not be allowed.
- Any Board member who is absent from three consecutive Board meetings may be removed from the Board by a majority vote of the Board. This vote of removal must be taken within one month of the third meeting from which the Board Member was absent.
- Board members who are absent due to Military service shall be exempt from Article II Section V and will regain their position upon return. An At Large member will be appointed by the Board to perform the duties of the member absent for Military service.
- Any vacancy occurring on the Board shall be filled by the recommendation of remaining Board for the remaining term of the Board member being replaced.
- The Board shall establish and disband permanent committees, as may be appropriate. The Board will set forth the duties and responsibilities of each committee. The President shall appoint the chairperson(s) of such committee.
- The President may create and fill temporary committees as may seem appropriate to accomplish the objectives of the chapter.
- The President shall not serve for more than two (2) consecutive terms.
- A Director position left unfilled after the Annual meeting shall be filled based upon the recommendation of the Board.
- All decisions by the Board must be unanimous. In the event a unanimous decision cannot be made, the issue will be taken to the members at the next regular meeting for discussion and voted on by all members in good standing present at the meeting. This vote is decided by a simple majority (51%).
- The Board shall make the final decision on which charity/charities the Chapter will support.
Article III – Duties of the Board of Directors
- President
- Be the chief executive officer of the Tampa Bay Area Sea Hawkers and its Board
- Preside at all their meetings.
- Have the general and active management of the Tampa Bay Area Sea Hawkers and its Board
- May execute all instruments in their behalf
- Ensure that Chapter business and policy is carried into effect.
- Be an ex-officio member of all committees
- Work in conjunction with the Vice President of Membership and Administration officer to send out membership renewal notices via email
- Have such other powers and perform such other duties as is usually inherent to such office.
- Vice President
The Vice President shall:
- Have the primary responsibility of assisting the President and the other officers of the Board as requested by the President
- Vice President of Membership and Administration
The Vice President of Membership and Administration shall:
- Coordinate and Liaison with other Sea Hawker chapters for Booster Club events occurring within Tampa Bay and for any away games Chapter members are interested in attending
- Communicate any events or special offers related to Tampa Bay Area Sea Hawkers Booster Club
- Maintain an accurate list of current members
- Maintain all contact information provided by the member including email addresses of current members.
- Coordinate Charity events
- Provide membership card to new and renewing members within 30 days of receipt of dues.
- Send the Board and Central Council’s VP Membership a monthly accounting of current membership numbers to be received no later than the last day of each calendar month
- Write receipts for membership dues received and membership cards for new and renewing members
- Mail receipts and cards to members, or deliver them in person at a meeting
- Work in conjunction with the President to send out membership renewal notices via email
- Promote membership drive opportunities presented by Central Council VP Membership
- Organize and promote Chapter membership drives as directed by the Board
- Events and Marketing Officer
The Events and Marketing Officer shall:
- Support VP of Membership and Administration
- Coordinate and execute promotion of Events on all Social Media platforms
- Support VP of Membership and Administration in tracking membership renewals and dispersing membership cards
- Keep the minutes of all Chapter meetings and send them to all Chapter members within ten (10) days of the meeting
- Keep the minutes of all Board meetings and send them to all Board members within ten (10) days of the meeting
- Carry on all correspondence of the Chapter and it’s Board
- Perform such other duties pertaining to the secretarial requirements of the Chapter and its Board
All meeting minutes, records correspondence files, and all central files shall be maintained by the Secretary and are the property of the Chapter.
- Treasurer
The Treasurer shall:
- Maintain a central mailing address for receipt of mail (PO Box)
- Receive and be accountable for all General Funds belonging to the Chapter
- Deposit all such funds in the name of the Tampa Bay Area Sea Hawkers in the financial institution of the Board’s choosing
- Disperse funds as the Chapter or its Board directs
- Keep accurate financial books and records
- Provide an accurate report of all receipts and disbursements which make up the Chapter’s financial status at all Chapter and Board meetings
All financial records including receipts, disbursement records, and Treasurer’s reports shall be maintained by the Treasurer and are the property of the Chapter
- At Large (2)
- Be assigned to lead committees by the Board as needed
- Assist Board in achieving chapter goals
- Assist in planning and set up of events
- Act as fill in for Board members on Military Duty
Article IV – Chapter Funds

- All funds received during Chapter meetings (i.e. raffle, dues, fundraiser, charity donations, etc.) shall be accounted for and signed off by the Treasurer and a non-related Board member prior to leaving the meeting.
- All funds specified for non-Chapter related business, such as but not limited to charity support, shall be deposited into the Chapter’s Savings at the same financial institution as the primary business account. Such funds shall be transferred to the Chapter’s Checking account at such time as the funds are presented to the specified charity.
